  • These Terms and Conditions (“Terms”) govern your access to and use of the website rivisoftware.com, RIVI Software products and services, and the NOMI assistant (together, the “Services”).

    By using the website, purchasing Services, or opting in to receive messages from RIVI Software / NOMI, you agree to these Terms. If you do not agree, do not use the Services.

    RIVI Software (“RIVI,” “we,” “us,” or “our”) provides AI-powered tools for small service businesses, including the NOMI assistant for quotes, scheduling, booking updates, and customer support.

    1. Who these Terms apply to

    These Terms apply to:

    • Visitors to rivisoftware.com

    • Businesses that hire NOMI or commission custom agents

    • People who opt in to SMS or other messages from RIVI Software / NOMI

    If you use the Services on behalf of a company, you represent that you have authority to bind that company.

    2. Description of Services

    RIVI Software designs and operates AI agents for small service businesses. NOMI handles customer conversations (including WhatsApp and, where you have opted in, SMS) for quotes, appointment confirmations, booking updates, verification, and support replies.

    We may change, suspend, or discontinue features. We do not guarantee uninterrupted or error-free operation.

    3. Accounts and your responsibilities

    You agree to:

    • Provide accurate information

    • Keep login credentials confidential

    • Use the Services only for lawful business purposes

    • Obtain any consents required before you have NOMI or RIVI contact your customers

    You are responsible for how you use the Services in your own business, including compliance with applicable messaging, privacy, and consumer-protection laws.

    4. Acceptable use

    You may not use the Services to:

    • Send spam, unsolicited marketing, or messages without required consent

    • Engage in affiliate marketing, lead brokering, or selling/sharing mobile opt-in data

    • Violate Twilio, carrier, CTIA, TCPA, or similar rules

    • Impersonate others, scrape data unlawfully, or interfere with the platform

    • Transmit illegal, harmful, or prohibited content

    We may suspend or terminate access for violations.

    5. SMS and text messaging program (RIVI Software / NOMI)

    This section is the SMS program terms for A2P 10DLC and related carrier review.

    Program name: RIVI Software / NOMI customer-care texts

    What you receive: If you opt in, you may receive SMS from RIVI Software / NOMI about quotes, appointment confirmations, booking updates, verification codes, and support replies. This is a customer-care / transactional program, not a third-party marketing list.

    How you opt in: You opt in by submitting the form at https://www.rivisoftware.com/sms (or another clear, campaign-specific consent method we describe). Consent is given directly to RIVI Software / NOMI. Consent is not a condition of purchase or of using our other services.

    Message frequency: Message frequency varies.

    Rates: Message and data rates may apply.

    Opt out: Reply STOP to any message to opt out at any time. After you opt out, we will send a confirmation and will not send further SMS unless you opt in again.

    Help: Reply HELP for help, or email support@rivisoftware.com.

    No sale or sharing of mobile opt-in data: We do not sell, rent, or share mobile phone numbers or messaging opt-in / consent information with third parties or affiliates for their marketing or promotional purposes. Mobile opt-in data is used only to operate this messaging program and to deliver the messages you requested.

    Carriers: Wireless carriers are not liable for delayed or undelivered messages.

    Consent cannot be transferred or bundled into an unrelated agreement. A separate, campaign-specific opt-in is required for this SMS program.

    6. Fees and payment

    Fees for NOMI, custom agents, or other Services are as agreed at purchase or in a separate order. Unless we state otherwise in writing, fees are non-refundable except as described in any posted refund policy. You are responsible for applicable taxes.

    7. Intellectual property

    The website, NOMI, custom agents, prompts, software, branding, and related materials are owned by RIVI Software or its licensors. We grant you a limited, non-exclusive, non-transferable license to use the Services for your internal business during your paid or authorized term.

    You retain rights in content you provide. You grant us a license to use that content solely to operate and improve the Services for you.

    8. Privacy

    How we collect and use information is described in our Privacy Policy:

    That policy states that we do not sell or share mobile numbers or messaging consent with third parties for marketing.

    9. Third-party services

    The Services may rely on third parties (for example hosting, messaging providers such as Twilio, calendars, or WhatsApp). Those providers have their own terms. We are not responsible for third-party outages or policy changes, including carrier filtering of SMS.

    10. Disclaimers

    THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, RIVI SOFTWARE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

    We do not warrant that quotes, schedules, or AI outputs will be accurate, complete, or suitable for every situation. You remain responsible for reviewing customer-facing communications and for your business decisions.

    11. Limitation of liability

    TO THE MAXIMUM EXTENT PERMITTED BY LAW, RIVI SOFTWARE AND ITS OWNERS, EMPLOYEES, AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL.

    OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE THREE (3) MONTHS BEFORE THE CLAIM.

    Some jurisdictions do not allow certain limitations; in those cases the limitation applies only to the extent permitted.

    12. Indemnification

    You will defend and indemnify RIVI Software against claims arising from: (a) your misuse of the Services; (b) content you provide; (c) messages you cause to be sent without proper consent; or (d) your violation of these Terms or applicable law.

    13. Termination

    You may stop using the Services at any time. We may suspend or terminate access if you breach these Terms, if required by a provider or carrier, or if we discontinue a product.

    Sections that by nature should survive (including intellectual property, disclaimers, limitation of liability, indemnification, and SMS opt-out records) will survive termination.

    14. Changes to these Terms

    We may update these Terms. The “Last updated” date will change. Continued use after posting constitutes acceptance of the updated Terms. Material changes to the SMS program will be reflected on this page and, where required, in the opt-in flow.

    15. Governing law

    These Terms are governed by the laws of the State of New York, without regard to conflict-of-law rules, except where a mandatory consumer or messaging law applies.
